CIT Announces Its Intention to Commence a Cash Tender Offer for Up To $500,000,000 of its Common Stock

NEW YORK, April 25, 2018 /PRNewswire/ — CIT Group Inc. (NYSE: CIT) today announced its intention to commence a modified “Dutch auction” cash tender offer to purchase up to $500,000,000 of its common stock, par value $0.01 per share, on or about April 26, 2018.

Under the terms of the proposed tender offer, CIT stockholders would have the opportunity to tender some or all of their shares at a price within a range, which is currently expected to be $50.00 to $56.00 per share. The closing share price of CIT’s common stock on April 24, 2018, the last trading day prior to today’s announcement, was $52.52. At the currently expected minimum price of $50.00 per share, CIT would repurchase a maximum of 10,000,000 shares, which represents approximately 8% of CIT’s currently outstanding common stock.

The terms and conditions of the tender offer will be described in an offer to purchase and related letter of transmittal that will be sent to CIT’s stockholders shortly after commencement of the tender offer. The tender offer will be subject to certain conditions described in the offer to purchase. The tender offer will be held open for at least twenty business days following its commencement, and tenders of shares must be made prior to the expiration of the tender offer period.

None of CIT, its Board of Directors, the dealer manager for the tender offer, the information agent for the tender offer or the depositary will make any recommendation to stockholders as to whether to tender or refrain from tendering their shares or as to the price or prices at which they might choose to tender their shares pursuant to the proposed tender offer.
