Investec Bank plc Acquires Warrants of Euromax

LONDON, United Kingdom, July 22, 2014 /CNW/ – Investec Bank plc (“Investec”) reports that on July 18, 2014, Investec acquired 12,195,122 warrants (the “Warrants”) of Euromax Resources Ltd. (“Euromax”) pursuant to the letter agreement dated February 22, 2013, as amended April 3, 2014, between Euromax and Investec. Each Warrant is exercisable to acquire one common share of Euromax (a “Share”) at a price of $0.41 per Share until July 18, 2019.

Prior to receiving the Warrants, Investec held 9,259,259 Shares as a result of its participation in a private placement of Shares as previously disclosed on March 8, 2013. As a result of the issuance of the Warrants: (a) Investec now holds 9,259,259 Shares and 12,195,122 Warrants, representing approximately 10.85% of Euromax’s outstanding Shares on an undiluted basis and 22% on a partially diluted basis (assuming exercise in full of the Warrants held by Investec only); and (b) Investec could become a “Control Person”, as defined under the policies of the TSX Venture Exchange, of Euromax upon exercise of the Warrants. The certificate representing the Warrants provides that Investec shall not be entitled to exercise the Warrants where, following such exercise, Investec would hold more than 19.9% of the then issued and outstanding Shares, unless Euromax has received shareholder and any other requisite approvals.

The Warrants were acquired for investment purposes. Investec will evaluate its investment in Euromax from time to time and may, based on such evaluation of market conditions and other circumstances, increase or decrease shareholdings in Euromax as circumstances require. No person is acting jointly or in concert with Investec in connection with the issuance of the Warrants.
