Sandstorm Gold Announces Closing of Sandstorm Metals & Energy Acquisition

VANCOUVER, May 29, 2014 /PRNewswire/ – Sandstorm Gold Ltd. (“Sandstorm” or the
“Company”) (NYSE MKT:SAND, TSX:SSL) is pleased to announce the closing
of the previously announced plan of arrangement (the “Arrangement”)
pursuant to which the Company has acquired 100% of the outstanding
common shares of Sandstorm Metals & Energy Ltd. (“Sandstorm Metals”).
Shareholders of Sandstorm Metals voted in favour of the resolution
approving the Arrangement at a Sandstorm Metals annual and special
meeting held on May 27, 2014. A final order approving the Acquisition
was granted by the Supreme Court of British Columbia on May 28, 2014.

With the acquisition of Sandstorm Metals, the Company has a portfolio of
9 streams and 28 royalties, of which 13 of the underlying mines are
producing gold.
