Digicel Group Limited Announces Early Tender Results of Its Tender Offer for Any and All of Its 10.5% Senior Notes Due 2018

KINGSTON, Jamaica, April 2, 2014 /PRNewswire/ — Digicel Group Limited (“Digicel”) today announced that it has received and accepted for purchase $546,499,000 aggregate principal amount, or 70.52%, of its outstanding 10.5% Senior Notes due 2018 (the “Notes”) validly tendered by 5:00 p.m., New York City time, on April 1, 2014 and expects to pay for tendered Notes on April 2, 2014.

In addition, the Company has received consents from holders of 70.52% of the Notes as of 5:00 p.m., New York City time, on April 1, 2014. The consents are sufficient to effect all of the proposed amendments to the indenture governing the Notes as set forth in Digicel’s Offer to Purchase and Consent Solicitation Statement dated March 19, 2014 (the “Statement”) and the related Letter of Transmittal and Consent, pursuant to which the tender offer and the consent solicitation are being made. The proposed amendments eliminate substantially all of the restrictive covenants and certain default provisions. Digicel has executed a supplemental indenture effecting the proposed amendments to the indenture, and the supplemental indenture is binding on the holders of Notes not purchased in the tender offer.
