SACRAMENTO, Calif., Dec. 19, 2013 /PRNewswire-iReach/ — SunDoc Filings (http://www.sundocumentfilings.com), a leading provider of incorporation services, has published a summary of new filing rules that businesses must follow to form a Limited Liability Company (LLC) in the State of California. Called a Jurisdictional Update, the new rules from the California Secretary of State will become effective on January 1, 2014.

“Each year, several thousand businesses file papers to form a California LLC,” says Stan Huser, President of SunDoc Filings. “And each year the filing requirements change just a bit. We’re trying to help people understand the changes.”

A Limited Liability Company is a form of enterprise that provides many of the same liability protections enjoyed by corporations, while allowing for greater operating flexibility and simpler tax filing.

According to Huser, this year’s update includes some important changes in the way an LLC can be filed in California.

As of January 1, 2014, the “Beverly-Killea Limited Liability Company Act” (California Corporations Code sections 17000 – 17657) will be repealed and replaced with the “California Revised Uniformed Limited Liability Company Act” (California Corporations Code sections 17701.01 – 17713.13).

In addition, foreign LLCs registering to do business in California must now supply a formal Certificate of Good Standing, says Huser. A “foreign” LLC is defined as a LLC formed in another U.S. state or in a foreign country. Huser says that California will no longer accept letters issued by another state in place of a Certificate of Good Standing.

Other rules affect the ability to reserve names for a future company, and alter how foreign LLCs can use business aliases – also known as DBAs – within California.

Huser cautions that the new rules only affect the formation of LLCs, and only affect activities in the State of California. But he encourages entrepreneurs and lawyers to be aware of the changes.

“Entrepreneurs are focused on their business, not on the legal paperwork,” says Huser, “Unfortunately that makes it easy for them to get blindsided by regulations.”
