Group Of Mexican Businessmen Purchases A Significant Stake In AEROMEXICO

MEXICO CITY, Feb. 12, 2013 /PRNewswire/ — Grupo AeroMexico, S.A.B. de C.V. (“AEROMEXICO”) (BMV “AEROMEX”), informs that:
1. A group of Mexican businessmen, led by Eduardo Tricio, purchased today on the Mexican Stock Exchange shares representing 20.19% of the outstanding shares of AEROMEXICO. With this transaction, such group, which invested in the airline since 2007, will increase their holdings. As a result of this transaction, Eduardo Tricio is the only member of the Board of Directors that is a record owner of more than 10% of the shares of AEROMEXICO. Mr. Tricio, together with members of his immediate family, may be deemed to have significant influence (under Mexican law) in AEROMEXICO as a result of shareholders’ arrangements that, in certain circumstances, allow him to direct the vote of more than 20% of our outstanding shares. Some of our shareholders, that are also members of our Board, have executed arrangements related to rights of first refusal, management and similar matters as provided under the Mexican Securities Market Act.
2. Eduardo Tricio will become Chairman of our Board and Valentin Diez-Morodo will be our Vice-Chairman. AEROMEXICO conveyed its gratitude to Jose Luis Barraza Gonzalez, who has presided our Board during more than five years, recognizing his accomplishments.
