Acquisition of Arbitron, Inc. by Nielsen Holdings N.V. May Not Be in Arbitron’s Shareholders’ Best Interests

PR Newswire

SAN DIEGO and COLUMBIA, Md., Dec. 19, 2012 /PRNewswire/ — Shareholder rights attorneys at Robbins Umeda LLP are investigating possible breaches of fiduciary duty and other violations of the law by members of the board of directors of Arbitron Inc. (NYSE: ARB) in connection with their efforts to sell the company to Nielsen Holdings N.V. (NYSE: NLSN). Arbitron is an international media and marketing information services company.

On December 18, 2012, Arbitron and Nielsen announced they had entered into a definitive agreement under which Nielsen will acquire Arbitron through an all cash tender offer that values the company at $1.26 billion. Arbitron shareholders will receive $48 per share.

The Board of Directors’ Actions May Prevent Arbitron Shareholders from Receiving the Maximum Value for Their Stock

Robbins Umeda LLP’s investigation focuses on whether the board of directors at Arbitron is undertaking a fair process to obtain maximum value and adequately compensate its shareholders. On October 24, 2012, Arbitron announced strong financial results for third quarter 2012 and the nine months ending September 30, 2012. The company reported significant increases in both income and revenue for over the same periods in 2011. Further, Arbitron beat analysts’ earnings per share estimates in seven of the past eight quarters and revenue estimates in six of the past eight quarters. Given these facts, the firm is examining whether the board of directors’ decision to sell Arbitron for $48 per share is fair to shareholders and maximizes the value for their shares.

Arbitron shareholders have the option to file a class action lawsuit against the company to secure the best possible price for shareholders and the disclosure of material information so shareholders can make an informed decision on whether to tender their shares in the tender offer. Arbitron shareholders interested in information about their rights and potential remedies can contact Darnell R. Donahue at (800) 350-6003, ddonahue@robbinsumeda.com, or via the shareholder information form on the firm’s website.
