of Mediagrif. As of the date of the last declaration under the Early
Warning System, Mr. Roy held directly and indirectly 3,011,900 common
shares of Mediagrif, representing approximately 21.97% of the
outstanding common shares of Mediagrif. He is now the beneficial owner,
and exercises control over a total of 3,312,320 common shares,
representing approximately 24.01% of the outstanding common shares of
Mediagrif.

for investment purposes only. Mr. Roy may increase or decrease his
beneficial ownership or control over these common shares of Mediagrif,
from time to time in the future, depending on market or other
