BOSTON, July 2, 2018 /PRNewswire/ — Santander Holdings USA, Inc. (“SHUSA”) today announced the completion and final results of its previously announced cash tender offer (the “Offer”) for any and all of its outstanding 2.700% Senior Notes Due 2019 (the “Notes”). The Company has been advised that the aggregate principal amount specified in the table below has been validly tendered and not validly withdrawn pursuant to the Offer:

(1) Includes $1,346,000 aggregate principal amount of 2.700% Senior Notes Due 2019 tendered pursuant to the guaranteed delivery procedures, which securities must be delivered by 5 p.m., New York City time, on July 3, 2018 as set forth in the Offer to Purchase referenced below.

The Offer was being made pursuant to an Offer to Purchase and a Notice of Guaranteed Delivery, each dated June 25, 2018, which contain detailed information concerning the terms of the Offer.

The Offer expired at 5:00 p.m., New York City time, on June 29, 2018 (the “Expiration Time”). The Company has accepted for purchase all Notes validly tendered and not validly withdrawn, and such Notes will be paid for on the initial payment date (other than Notes validly tendered under the procedures set forth in the Notice of Guaranteed Delivery), which is expected to be today, July 2, 2018. Under the terms of the Offer, Notes validly tendered and properly delivered under the procedures set forth in the Notice of Guaranteed Delivery will be paid on the guaranteed delivery payment date, which is expected to be July 5, 2018.
