EnPro Industries Inc. NPO recently announced that it has entered into an agreement to acquire the Veyance North-American air spring business from Continental AG in a cash transaction. The deal, in sync with the company’s expansionary policy, will serve to strengthen its commercial vehicle suspension business. However, financial terms of the deal were kept under wraps.
As disclosed, the Veyance North-American air spring business unit is the manufacturer of Goodyear air springs, especially used in the suspension system of commercial vehicles. The acquired air spring business unit will be integrated with EnPro Industries’ Stemco division.
The added product line will complement Stemco’s existing offerings, including high performance wheel-end, brake, suspension, and tire pressure management products for the commercial vehicle market. Also, a team of highly experienced employees from Continental AG will join EnPro Industries.
The completion of the transaction is subject to regulatory approvals, especially from the concerned authorities in the U.S., Brazil and Mexico. The involved parties expect to close the deal in Jul 2015.
We believe the acquisition, while reflective of EnPro Industries’ strong cash position, will also boost its growth opportunities. Last February, the company had acquired assets of ATDynamics, a privately held company specializing in aerodynamic products for the commercial trucking industry. This product line was also integrated with the company’s Stemco division.
The Zacks Consensus Estimate for EnPro Industries is pegged at $2.33 for 2015 and $2.69 for 2016. These estimates reflect year-over-year growth of 8.1% for 2015 and 15.7% for 2016. For second-quarter 2015, the Estimate stands at 77 cents per share, up 35.1% year over year.
With a market capitalization of $1.4 billion, EnPro Industries currently carries a Zacks Rank #2 (Buy). Stocks with a similar Zacks Rank in the machinery industry include Luxfer Holdings PLC LXFR, The Middleby Corp. MIDD and Omnitek Engineering Corp. OMTK.
