SAO PAULO, Jan. 29, 2015 /PRNewswire/ — Cosan Overseas Limited (“Cosan Overseas”) announced today that it has terminated its previously announced cash tender offer and related consent solicitation (the “Offer”) for, and in respect of, any and all of its outstanding 8.25% Perpetual Notes (the “Notes”) fully, unconditionally and irrevocably guaranteed by Cosan S.A. Industria e Comercio and Cosan Lubrificantes e Especialidades S.A. All Notes tendered in the Offer will be returned promptly to the respective holders thereof without any action required on the part of the holders. No consideration will be paid in the Offer for any tendered Notes nor will certain amendments to the indenture governing the Notes be adopted.

The Offer was subject to the conditions set forth in the Offer to Purchase and Consent Solicitation Statement dated November 17, 2014, including, among other things, the Financing Condition, certain of which were not satisfied. This press release confirms the termination of the Offer.
