In accordance with Section 318(b) of the Israeli Companies Law, 5769-1999 (the “Companies Law“) and Regulation 3 of the Israeli Companies Regulations (Merger), 5770-2000, Pointer Telocation Ltd. (the “Company“) hereby notifies its creditors that on December 14, 2014, the Company has filed with the Israeli Registrar of Companies a Merger Proposal (as such term is defined in the Companies Law), pursuant to which Shagrir Systems Ltd., a private Israeli company wholly-owned by the Company (“Shagrir“), shall merge with and into the Company (the “Merger“). Upon consummation of the Merger, Shagrir shall cease to exist and the Company shall continue as the surviving company. The Merger Proposal may be reviewed at the offices of the Israeli Registrar of Companies, and at the offices of the Company, 14 Hamelacha Street, Rosh Haayin, Israel, on Sunday through Thursday, between 10:00 and 17:00 (Israel time).
