After the completion of Abbot Holdings Norge AS’ (“Abbot”) voluntary offer to acquire all issued and to be issued shares in Songa made on 8 May 2006, Abbot held in total 97.6 per cent of the total issued shares in Songa, and a corresponding share of the voting rights of the company. Under the extended offer, Abbot received acceptances for an additional 2.15 per cent of the Songa shares, and did consequently hold a total of 99.75 per cent of the total shares and votes of Songa.
In a meeting on 20 June, the board of directors of Abbot resolved to carry out a compulsory acquisition of the remaining 166,987 shares in Songa in accordance with Section 4-26 of the Norwegian Private Limited Companies Act, cfr. the attached minutes from the board meeting. These shareholders were offered a redemption price of NOK 41.75 per share. An amount equivalent to the aggregate redemption price offered - NOK 6,971,707.25 - has been deposited in a specific bank account with DnB NOR in accordance with the provisions of the act. Consequently, Abbot now holds 100% of the shares and voting rights of Songa.
Delisting of Songa from the OTC list was resolved in an extraordinary general meeting on 26 June 2006.
On 8 May 2006, Abbot Group plc, through its wholly owned subsidiary Abbot Holdings Norge AS ('Abbot'), made an offer to purchase all of the shares of Songa Drilling AS, subject to the satisfaction or waiver of certain conditions described in this offer. The Board of Songa Drilling had previously recommended this offer on the basis that it would serve the best interests of Songa Drilling and its shareholders.
Abbot Group announced earlier today, 2 June 2006, that it had received as of 3.00 p.m. on 1 June 2006, being the end of the acceptance period for the offer, valid acceptances of such offer from those shareholders holding in excess of 90 per cent of shares in Songa Drilling, which surpassed the offer’s condition of at least a 75 per cent acceptance level. Abbot Group further announced that all of the conditions to the offer have either been satisfied or waived, other than the admission of new ordinary shares in Abbot Group on the official listing and trading on the London Stock Exchange, which Abbot plans to issue as partial consideration for the purchase of Songa Drilling Shares as further described in the offer.
Abbot also announced its intention to despatch the consideration due to Songa Drilling Shareholders who have already accepted the Offer by 8 June 2006.

Today Songa Drilling was awarded a 1 year contract with 2 x 1 year options for drilling operations in Cook Inlet, Alaska. The Operators are Escopeta Oil and Gas of Houston and Johannesburg-based Centurion Gold holdings. The Songa Tellus, a 250 ft cantilevered jackup, will go on a heavy lift vessel in early June for the transport to Cook Inlet. The revenue from the first year of activity will be USD 46 million excluding mob and demob revenue. The option years must be declared 6 months in advance. The Tellus is undergoing refurbishment work in Texas. This work has been expanded to provide winterization for the Alaskan environment.
